01Acceptance of Terms
By accessing or using newportbeachttc.com (the "Site") or any digital service provided by Tennis and Pickleball Club of Newport Beach (collectively, the "Club," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Site.
"You" or "User" means any visitor, member, prospective member, guest, or anyone else interacting with the Site.
02About the Club
The Site is operated for the benefit of the Club, which includes the following affiliated entities and their officers, directors, employees, members, agents, contractors, and assigns:
- TTC Newport LLC
- TTC Newporter LLC
- TTC Koto LLC
- TTC Palms LLC
- Champion Management Group, Inc.
- World Team Pickleball, LLC
03Use of the Site
You may use the Site for lawful purposes only. You agree not to:
- Use the Site in any way that violates applicable federal, state, or local laws or regulations
- Impersonate the Club or any other person or entity
- Attempt to gain unauthorized access to any portion of the Site, member-only areas, accounts, or systems
- Use any automated means (bots, scrapers, crawlers) to access or extract content from the Site without our written consent
- Upload or transmit viruses, malware, or any other harmful code
- Interfere with the proper operation of the Site or any user's enjoyment of it
04Intellectual Property
All content on the Site — including text, graphics, logos, images, photography, video, audio, software, design, and the "TTC" name and marks — is the property of the Club or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, or sell any content from the Site without prior written permission from the Club.
05Member Portal & Forms
Certain areas of the Site, including the member hub, sign-off forms, application forms, waivers, and incident reporting tools, are intended for current Club members, prospective members, guests, or Club personnel. By submitting a form on the Site, you represent that the information you provide is accurate, complete, and that you are authorized to provide it.
The Club reserves the right to verify any information submitted, and to deny access, restrict use, or remove content at our sole discretion.
06Liability Waiver
Use of Club facilities, programs, lessons, clinics, events, and equipment is subject to a separate Liability Release, Assumption of Risk, and Indemnity Agreement. That agreement governs in-person participation and is incorporated by reference into these Terms. Members and guests must complete that agreement before participating in any Club activity.
07Third-Party Links & Services
The Site may contain links to third-party services, including but not limited to GroupMe, Club Automation (TTC App), Instagram, Google services, and the California Civil Rights Department training platform. Those services are operated by third parties under their own terms and privacy policies. The Club is not responsible for the availability, content, or practices of any third-party services.
08Disclaimers
THE SITE AND ALL CONTENT, SERVICES, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE CLUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Club does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The Club does not warrant the accuracy or completeness of information published on the Site.
09Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE CLUB OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.
10Indemnification
You agree to indemnify, defend, and hold harmless the Club from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your breach of these Terms, your violation of any law, or your violation of any rights of a third party.
11Modifications to the Site & Terms
The Club may modify, suspend, or discontinue any part of the Site at any time without notice or liability. We may revise these Terms from time to time. The most current version will be posted on the Site with the "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
12Governing Law & Venue
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.
13Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
